1. Agreement to Terms
By engaging our services (coaching, audits, tool configuration), you agree to these binding Terms. If you are an agency or business, the individual accepting represents authority to bind the entity. These Terms supersede any prior agreements.
2. Service Description & Scope
We provide time management consulting and training for creative professionals. Deliverables are outlined in a Statement of Work for each engagement. We guarantee that our advice will be delivered with professional care, but specific productivity improvements are not guaranteed due to variable client implementation.
3. Client Responsibilities
- Provide timely access to relevant workflow information.
- Implement agreed recommendations with reasonable diligence.
- Maintain confidentiality of our proprietary methodologies (Lean Creative Process®).
- Not use our services to infringe on third-party intellectual property.
4. Payment Terms
Fees are due net 15 from invoice date. Late payments incur 1.5% monthly interest. All prices are in USD and exclusive of applicable taxes. We accept major credit cards and ACH transfers.
5. Intellectual Property
All pre-existing materials and methodologies remain our intellectual property. Upon full payment, clients receive a perpetual, non-transferable license to use deliverables (e.g., templates, calendars) for internal purposes only.
6. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim shall not exceed the fees paid in the prior 12 months. We are not liable for indirect damages (lost profits, creative block, or missed opportunities).
7. Termination
Either party may terminate with 30 days’ written notice. Upon termination, client pays for services rendered through the effective date. In case of material breach by client (non-payment, confidentiality violation), we may terminate immediately.
8. Dispute Resolution
Any disputes shall first be resolved through mediation in Multnomah County, Oregon. If mediation fails, the dispute will be settled by binding arbitration under JAMS rules. Class actions are waived.
9. Governing Law
These Terms are governed by Oregon law, without regard to conflict of law principles.
